Terms and Conditions for Payment Integrations

Welcome to Radixile Technology Solutions ("Radixile"). These Terms and Conditions ("Terms") govern the payment integration services ("Services") provided by Radixile to its clients ("Client" or "You"). By using our Services, you agree to comply with and be bound by these Terms. If you do not agree with these Terms, please do not use our Services.

Scope of Services

Radixile provides integration services for various payment gateways to facilitate online transactions for your business. The specific details and scope of the Services will be outlined in a separate Service Agreement between Radixile and the Client.

Client Responsibilities

The Client agrees to provide all necessary information and access to systems required for the integration of payment gateways. The Client must comply with all applicable laws, regulations, and payment gateway requirements. The Client is responsible for ensuring the security and confidentiality of their customer data. Radixile will not be liable for any breaches resulting from the Client's failure to secure their systems.

Fees and Payment

The Client agrees to pay the fees for the Services as outlined in the Service Agreement. Payment terms, including due dates and accepted payment methods, will be specified in the Service Agreement. All fees are exclusive of any applicable taxes. The Client is responsible for paying any taxes levied on the Services.

Intellectual Property

All intellectual property rights in the Services, including any software or documentation provided by Radixile, remain the property of Radixile. Radixile grants the Client a non-exclusive, non-transferable license to use the provided software or documentation solely for the purpose of utilizing the Services.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the provision of Services. This obligation shall survive the termination of these Terms.

Limitation of Liability

Radixile provides the Services "as is" without any warranties, express or implied. Radixile's total liability for any claims arising out of or related to the Services shall not exceed the amount paid by the Client for the Services in the preceding twelve (12) months.

Indemnification

The Client agrees to indemnify and hold Radixile harmless from any claims, damages, losses, or expenses arising out of the Client's use of the Services or breach of these Terms.

Termination

The Client may terminate the Services at any time by providing thirty (30) days' written notice to Radixile. Radixile may terminate the Services immediately if the Client breaches any material term of these Terms or the Service Agreement.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or related to these Terms shall be resolved through arbitration in [City, State], India, in accordance with the Arbitration and Conciliation Act, 1996.

Miscellaneous

Radixile reserves the right to modify these Terms at any time. Any changes will be communicated to the Client. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect. These Terms, along with the Service Agreement, constitute the entire agreement between the parties and supersede all prior agreements or understandings.
